A company comes through the network or a GCN conference and clears my own diligence bar.

A single-purpose entity is set up for that investment, with terms and documents prepared by counsel.

Investors commit

Accredited investors on the list are invited to review the deal and commit capital.

Closing & ongoing updates

The SPV closes into the company, and investors receive periodic updates as I do.

Minimum investment

Varies by deal — typically discussed once you're on the list and a specific opportunity opens.

Fee structure

Standard SPV terms apply — a management fee and carried interest, disclosed in full before any commitment.

Risk

Private company investments are illiquid and carry a real risk of loss, including total loss of capital.
